Headquarters move
A newly established IT sector client wished to move its headquarters from the US to the UK and to insert a new UK holding company with the same shareholding structure as its then existing US trading company. Agnes worked closely with our US colleagues and with the client to deal with the many different aspects of the transaction.
Property holding company
Together with colleagues in the real estate and wealth planning teams, Agnes advised a private individual on the acquisition and subsequent liquidation of an offshore company holding property, which was previously owned by a US trust. As well as drafting and negotiating the necessary documentation for the acquisition, Agnes coordinated input from local counsel, accountants and liquidators.
Corporate support to employment team
Assisted colleagues in the employment team on many occasions, advising on the corporate aspects of individual clients' exits from their employment and negotiating the documents required for the realisation or safeguarding of their interests in their former employers.
Register of people with significant control
Advised corporate and individual clients, both in the UK and overseas, in respect of the requirements of the new 'register of people with significant control' to be maintained by UK companies and LLPs following the PSC regime coming into force on 6 April 2016.
AIM listed company
Advised a long-standing AIM-listed company client on the acquisition of a number of owner-managed business, each specialising in integrated information security and information technology. Over the years, she was able to build up a good working relationship with the client's management team which helped each subsequent acquisition to run even more smoothly than the last.
