Withers advises Elisa on the acquisition of Italy's sedApta Group

International law firm Withers has assisted telecoms and digital services group Elisa in the acquisition of sedApta Group, an international software business headquartered in Italy.
SedApta employs more than 500 people and serves over 1,500 customers, generating revenue of €49 million in 2023. The sedApta Group and Elisa IndustrIQ have been working in partnership for three years and Elisa held a minority shareholding (19%) in sedApta Group before the acquisition.
The Withers team, led by partner Guido Galeotti with associates Giusy Cardinale and Diletta Del Pizzo, assisted Elisa in all stages of the transaction, from legal due diligence to the acquisition agreements and negotiations up to the closing held on October 30, 2024. The Withers team also drafted all ancillary agreements relating to the transaction and provided assistance on complementary areas such as setting up the new governance structure post-acquisition. The transaction also involved a corporate reorganization prior to the completion of the transaction, which had to be carried out through a series of preliminary agreements. The due diligence activities required Withers to establish a multijurisdictional group involving UK, French and German teams. IP advice was provided by Withers partner Jacopo Liguori and senior counsel Tiziana Campigli.
